These terms cover the website only. If you engage Mainstay for professional services, that relationship is governed by a separate signed engagement letter, and where the engagement letter and this page disagree, the engagement letter controls.

This site is information, not advice

Everything published here — the service pages, the industry pages, the articles under Insights, the FAQ, the business readiness check and the podcast page — is general information about accounting, tax and advisory topics. It is not tax advice, legal advice, accounting advice, investment advice or a professional opinion, and it is not written for your particular facts.

Tax and accounting outcomes turn on details. Two businesses that look alike on paper can face completely different answers. Do not act, or decline to act, on anything you read here without first getting advice from a qualified professional who knows your situation.

Using this site does not make us your accountant

Reading this site, submitting a form, requesting the readiness check, calling us or exchanging emails with us does not create an accountant–client relationship, and does not make you a client of Mainstay.

That relationship begins only when we and you sign an engagement letter describing the work, the scope and the fee. Until that happens, we owe you no professional duty, and no privilege, confidentiality obligation or duty of care arises from your contact with us.

Do not send confidential information through this site

Our forms ask about your business so that a first conversation is useful. Please keep your answers general.

Do not send Social Security or taxpayer identification numbers, bank or brokerage account numbers, card numbers, passwords, copies of returns, financial statements, or any other sensitive or confidential material through this website or by ordinary email. Information sent to us before an engagement letter is signed is not treated as confidential or privileged, and the internet is not a secure channel. Once you are a client we will give you a secure portal for documents.

Accuracy, and changes over time

We try to keep this site accurate, but tax law, regulations and professional standards change constantly, and pages written as of one date may be out of date by the time you read them. We make no promise that any page is current, complete or free of error, and we are under no obligation to update it. Dollar figures, thresholds and examples are illustrative.

Acceptable use

Use this site lawfully and for its intended purpose. Specifically, do not:

submit false information, or impersonate another person or business;
use the forms to send unsolicited commercial messages, or to harvest contact details;
probe, scan or test the security of the site, or try to gain unauthorized access to any part of it or to any connected system;
upload or transmit malicious code, or anything designed to disrupt the site;
place an unreasonable load on the site through automated requests;
use any automated means to scrape, copy or collect content from this site, or to build or train a machine learning model on it, without our written permission.

We may restrict or block access to the site at our discretion, including where we believe these terms have been broken.

Our content

The text, photographs, graphics, layout, code and the Mainstay name and logo on this site are owned by Mainstay or used under licence, and are protected by copyright, trademark and other laws.

You may view the site, and print or download pages, for your own personal or internal business reference. You may quote short passages with attribution and a link. Anything beyond that — republishing, redistributing, selling, or creating derivative works — needs our written permission.

If you believe something on this site infringes your rights, tell us at contact@mainstayaccounting.com and we will look into it promptly.

Links and third-party services

This site links to services we do not operate, including our client portal, our payment portals, the platforms that host our podcast, and our pages on social networks. Those services have their own terms and privacy policies, and your use of them is between you and them. We do not control them and are not responsible for their content, availability, security or practices.

Payments

Invoice payments are handled by third-party payment providers linked from our payments page. Mainstay does not collect or store your card or bank details on this site. The provider’s terms govern the transaction. Questions about a specific invoice should go to office@mainstayaccounting.com or 330.870.3601.

Careers submissions

Material you send through the careers form is submitted voluntarily. Sending it does not create an employment relationship or any obligation on our part to consider, respond to, return or keep it confidential.

The site is provided “as is”

To the fullest extent the law allows, this site is provided as is and as available, without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the site will be uninterrupted, secure or error free, or that any defect will be corrected.

Some states do not allow certain warranties to be excluded, so parts of this section may not apply to you.

Limitation of liability

To the fullest extent the law allows, Mainstay and its members, officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data or business interruption, arising out of or relating to your use of this site — even if we have been advised that such damages are possible.

To the fullest extent the law allows, our total liability arising out of or relating to this site will not exceed one hundred dollars ($100). This limit does not apply to liability that cannot be limited under Ohio law, and it does not limit or alter any obligation we owe you under a signed engagement letter.

Some states do not allow these limits, so parts of this section may not apply to you.

Indemnification

You agree to indemnify and hold harmless Mainstay and its members, officers, employees and agents from any claim, loss, liability or expense, including reasonable attorneys’ fees, arising out of your misuse of this site, your breach of these terms, or your violation of any law or third-party right in connection with the site.

Privacy

How we handle information you give us is described in our privacy policy, which forms part of these terms.

Changes to these terms

We may revise these terms. The “last updated” date above shows when they last changed, and the revised version applies from the date it is posted. Continuing to use the site after a change means you accept it. Please check back from time to time.

Governing law

These terms, and any dispute arising out of them or out of your use of this site, are governed by the laws of the State of Ohio, without regard to its conflict of laws rules. You and we agree that the state and federal courts serving Summit County, Ohio have exclusive jurisdiction, and each of us consents to venue there.

Severability and entire agreement

If any provision of these terms is held unenforceable, it will be limited or removed to the minimum extent necessary and the rest will remain in force. Our failure to enforce a provision is not a waiver of it. Together with the privacy policy, these terms are the entire agreement between you and us regarding this website.
